ISS has released its updated proxy voting policy for the 2012 proxy season, reflecting changes in its stances on key issues such as say on pay, proxy access and incentive bonus plans.

At best, these metrics merely give a snapshot of the framework in which actual governance decisions are made. The metrics may simplify and standardize information about the governance framework, but they don’t measure whether governance is effective.
