


October 11, 2007 Proxy Advisory Firms Say Vote For Cytyc, Hologic MergerProxy advisory firms RiskMetrics Group, Glass Lewis & Co., and Egan-Jones Proxy Services are recommending that stockholders of Cytyc Corporation vote for a proposed merger of that company and Hologic, Inc., Cytyc announced yesterday.
As announced on May 20, Hologic and Cytyc, a diagnostic and medical device company that designs and manufactures innovative surgical products, entered into an agreement to combine the two companies in a cash and stock transaction under consideration of about $6.2 million that is expected to close by the middle of the month.
Cytyc’s proxy materials, which stockholders are encouraged to read in their entirety, provide a detailed discussion of the process that led to the proposed merger, and the reasons behind the unanimous recommendation of Cytyc’s board that stockholders vote in favor of the merger. |
